User Agreement for Repso Live

1. Introduction

Welcome to Repso Live! Before you proceed, please take a moment to carefully review the following provisions of our Terms of Use (“Terms”). This document constitutes a legally binding agreement between you (“you”, “your”, or “user”) and Repso Live, governing the use of (i) Repso Live software programs, including mobile applications and related documentation installed or used by you on any of your devices (the “Software”), and/or (ii) any services enabled by the Software (the “Services”).

By downloading or otherwise accessing the Software and/or Services, you acknowledge that you have read, understood, and agree to be bound by the following Terms (including any additional guidelines and future modifications), Repso Live’s Privacy Policy, Copyright Policy, and Community Guidelines. Additionally, if you are a Broadcaster, you are also bound by our Broadcaster Terms. Each of these documents is incorporated herein by reference, collectively forming the “Terms”.

If, at any time, you do not agree to any part of the Terms, you may not use the Software or Services and must immediately cease your use of the Software and all associated Services.

1. Services Offerings

At Repso Live, our vision is to empower individuals to foster communities, connect globally, and share their cherished moments. To realize this vision and inspire the lives of one billion people, we provide a range of services tailored to your needs:

1. User-Created Content: Repso Live facilitates the distribution of user-generated content, enabling you to livestream, engage in chat discussions, post on bulletin boards, participate in forums, and utilize various interactive features to create, share, and store content, including messages, text, multimedia, applications, and more (“User Content”). You can enhance your User Content with Repso Live’s features, such as music overlays, graphics, stickers, and virtual items, amplifying your creative expression within the platform. It’s important to note that the views expressed by other users, including virtual gift exchanges, do not necessarily reflect Repso Live’s views or values.
2. Personalized Discovery: We strive to help you discover content, products, and services that align with your interests. Through targeted advertisements, offers, and sponsored content, we facilitate exploration of offerings from businesses and organisations leveraging Repso Live.

iii. Community Protection: Our dedicated global teams and advanced technological systems work tirelessly to identify and address misuse of our platform, harmful behaviour, and situations where intervention can support or safeguard our community. We take swift and appropriate action upon detecting such content or conduct, including providing assistance, content removal, feature restriction, account suspension, or collaboration with law enforcement.

1. Global Accessibility: To deliver our services worldwide, we operate a network of data centres and systems spanning across different regions. This infrastructure, managed by Repso Live and its affiliates, ensures seamless access to content and data, irrespective of your geographical location.

1. Account Management

Creating an account with Repso Live requires providing essential information, including an account name and password.

You bear the sole responsibility for maintaining the confidentiality of your account credentials, ensuring restricted access to your device, and monitoring all activities associated with your account. It’s imperative to furnish accurate and up-to-date information to Repso Live during registration and throughout your engagement with our platform.

We may offer integration with third-party services for account registration and login purposes. Your interaction with such third-party services will be governed by their respective privacy policies. For detailed insights into Repso Live’s data handling practices concerning linked third-party accounts, refer to our Privacy Policy.

Repso Live reserves the right to deactivate user accounts at its discretion, particularly in cases of non-compliance with our terms, potential harm to our platform, infringement of third-party rights, or violation of applicable laws.

If you decide to discontinue using our services and request account deletion, we’re here to assist you. Simply reach out to us at Support@repsolive.com, and we’ll guide you through the account deletion process. Once your account is deleted, reactivation and data retrieval will not be possible.

1. Data Privacy

At Repso Live, safeguarding your privacy is paramount. Please refer to our Privacy Policy for comprehensive details on how we collect, utilise, and disclose your personal information, as well as methods for managing your online privacy while using our Services.

1. Utilisation of Our Platform

Your utilisation of Repso Live is contingent upon adherence to these terms and all relevant laws and regulations. By accessing our Services, you agree to comply with our Terms of Service and Repso Live’s Community Guidelines, undertaking not to:

1. Generate, upload, transmit, distribute, or store any content that is inaccurate, unlawful, infringing, defamatory, obscene, pornographic, invasive of privacy or publicity rights, harassing, threatening, abusive, inflammatory, or otherwise objectionable.
2. Assume the identity of another person or entity, falsely assert an affiliation with any entity, access Repso Live accounts without authorization, forge identities, or engage in fraudulent activities.

iii. Engage in defamation, harassment, abuse, threats, or fraudulence towards Repso Live users, or collect personal information about users or third parties without consent.

1. Tamper with security features of the Services or User Content, circumvent usage restrictions, remove copyright notices, or damage security-related aspects.
2. Attempt to uncover the source code of the Services, except where expressly permitted by applicable law.
3. Modify, adapt, translate, or create derivative works of the Services, except where permitted by law.

vii. Disrupt the operation of Repso Live or impair user experiences by disseminating malicious code or interfering with the platform’s functionality.

viii. Misrepresent the origin of User Content.

1. Interfere with Repso Live’s operation or disobey network regulations, causing inconvenience or harm to other users.
2. Attempt to bypass content filters or access unauthorised areas of the platform.
3. Use Repso Live for unlawful purposes, violating intellectual property rights, data protection laws, or other legal regulations.

Repso Live disclaims liability for User Content and any resulting losses or damages. We do not endorse User Content and retain the right to remove, screen, or edit any content that violates our Terms of Service or applicable law. You are responsible for backing up and replacing any User Content posted on Repso Live. Breach of these terms may lead to termination or suspension of your account.

6. Virtual Goods Terms of Use

As you embark on your journey within our platform, it’s essential to understand the terms governing your interactions with our virtual items. Below, we outline the guidelines regarding Diamonds, Gifts, Coins, and payment terms:

1. Virtual Currency and Items: Diamonds, Gifts, and Coins

• Within Repso Live, you have access to virtual Diamonds and Gifts, which can be purchased and used within our platform.
• Diamonds are the primary currency used for acquiring Gifts, which can be sent to others or received with monetary value.
• Additionally, you can earn virtual Coins, which can be converted into Diamonds or withdrawn if you’re of the appropriate age.

1. Payment Process and Currency

• When making purchases, the price of Diamonds will be clearly displayed, and all charges will be processed in the specified currency through our payment mechanisms.
• We accept major credit cards, selected debit cards, and other payment methods as available on our platform.
• All transactions are conducted in United States Dollars unless otherwise indicated through our payment methods.

1. Responsibilities and Restrictions

• You are solely responsible for the payment of any Diamonds purchased and understand that Diamonds cannot be exchanged for cash or any other form of currency.
• Diamonds are intended for use within Repso Live and cannot be combined with other promotions, discounts, or offers unless explicitly designated by us.

1. Refunds and Exceptions

• All sales of Diamonds and Gifts are final unless approved by our support department under valid circumstances.
• Refunds may be considered based on evaluated excuses, subject to our support team’s discretion.

1. Payment Partner Compliance

• Our payment processing partners may require certain personal data for payment processing and regulatory compliance.
• This may include providing a valid government-issued ID, legal name, address, and date of birth to comply with applicable laws and regulations.

• By using Repso Live’s services and uploading any live stream content or other content to publicly accessible areas of our website, you grant Repso Live and its sub-licensees permission.
• This permission includes free, permanent, irrevocable, non-exclusive, and fully sub-licensable rights and licence, without territorial or time limitations and without requiring approvals or compensations.
• Repso Live reserves the right to use, copy, modify, adapt, publish, translate, edit, dispose, create derivative works of, distribute, perform, and publicly display such content (in whole or in part), and/or incorporate such content into existing or future forms of work, media, or technology.

1. Termination of Services

• Repso Live reserves the right, without notice and in our sole discretion, to terminate your licence to use our services and to block or prevent your future access to and use of the services.
• This termination may occur if:
  • Your use of the services violates this Agreement or applicable law.
  • You engage in fraudulent use or misuse of the services.
  • We are unable to continue providing the services to you due to technical or legitimate business reasons.
• This includes the ability to terminate or suspend your access to any purchased products or services.
• Your only remedy with respect to any dissatisfaction with the services, terms of service, policies, practices, or content transmitted through the services is to terminate your account and discontinue use of the services.

• You acknowledge and agree that Repso Live services are provided on an “as is” basis. We make no representations or warranties, express or implied, regarding the operation or provision of our services.
• Repso Live shall not be liable for the quality, timeliness, accuracy, or completeness of our services. We are not responsible for any consequences resulting from your use of our services.

• Repso Live does not guarantee the accuracy and integrity of any external links accessible through our services. We do not endorse or control the content of linked sites.
• We shall not be held responsible or liable, directly or indirectly, for any loss or damage incurred through your use of external links provided for your convenience.

1. Service Interruptions

• Repso Live shall not be liable for interruptions or inadequacies in our services caused by force majeure or circumstances beyond our control.
• However, we will make reasonable efforts to minimise any resulting losses or impact on users.

• Requests must be properly served on Repso Live via the designated channels provided by Superlive.

While we’ll make reasonable efforts to notify you of any significant changes, such as through a notice on the Repso Live platform, it’s important for you to periodically review the agreement for updates. By continuing to use our Services after the new terms take effect, you indicate your acceptance of these changes. If you do not agree to the updated terms, you must cease using our Services.

10. Additional Terms

This agreement encompasses all agreements and pertinent matters between us. Apart from what’s explicitly stated here, no other rights are conferred to either party.

Should any part of this agreement be deemed invalid or unenforceable by competent authorities, the rest of the agreement remains valid.
